Effective
1. About these terms
These terms are the agreement between Trade Sync Group Pty Ltd (ABN 65 668 818 791), trading as Orderfy ("Orderfy", "we", "us") and the business that uses Orderfy ("you"). The person who accepts them for a business confirms they are allowed to bind it.
The agreement is made up of these terms, your order (the plan, seats and add-ons you chose, and their price), the data processing terms, the acceptable use policy, the service levels and the privacy policy. If they conflict, your order comes first, then these terms, then the others.
2. The service
Orderfy is business management (ERP) software, provided online by subscription, for Australian trade suppliers, wholesalers and distributors. Your plan and add-ons decide the modules and limits you have.
We keep improving Orderfy and may change how features work, but we won't take away a feature your plan includes without telling you at least 30 days before. Features marked as a preview may change or stop.
3. Accounts and users
- Access starts once we have set up your business.
- You nominate an owner, and decide who signs in and what each person can do.
- Each seat is for one named person. Sign-in details must not be shared.
- You keep sign-in details secure, and can require multi-factor sign-in for everyone.
- You are responsible for what your users do in Orderfy, and tell us promptly about any sign-in you didn't authorise.
4. Fees and payment
Fees are in Australian dollars, plus GST, billed monthly in advance by card through our payment provider: your plan, any extra seats and add-ons, and any per-employee charges for HR. Your order shows the price. We give at least 30 days' notice of a price change, and you may cancel before it takes effect.
If a payment fails, your account becomes past due. If it is still unpaid 7 days later, it becomes read-only: you can still see everything and ask for an export, but not make changes. If it is still unpaid 14 days after that, it is suspended. Paying restores your account straight away.
Fees already paid are not refunded, except where these terms or the law say otherwise.
5. Plan limits
Each plan has limits, such as orders a month, products, warehouses and storage, shown on the plans page. If you are growing past your plan, we talk to you before anything changes. We don't stop you trading because a limit was reached in the middle of a month.
"Unlimited" on the Max plan means unlimited within fair use: use that a business of your size would reasonably make of the service, and that doesn't harm it for other customers.
6. Your data
Your data stays yours. Your database and its backups are kept in Australia, and files you upload in Australia and New Zealand, as the privacy policy describes. You give us the right to host, copy and process it only as needed to provide Orderfy to you. We don't sell it, use it for advertising, or train artificial intelligence on it. We use counts of how Orderfy is used (never the content of your records) to run the service and apply your plan's limits.
You are responsible for the accuracy of your data, and for having the right to put it in Orderfy, including any personal information about your customers, suppliers and staff.
7. Exports and leaving
You can have a full export of your data whenever you ask, during your subscription and for 90 days after it ends. Ask in Settings → Your data, or by email. We open a download window within 2 business days, and your admins download every table as CSV files, with a description of each. Attached files are available on request.
You can cancel at any time, effective at the end of the current billing month. 90 days after your account ends we delete your data. Backups holding it expire within 30 days after that, and we confirm the deletion in writing if you ask.
8. Support and access to your account
Support is by email and phone, 9 am to 5 pm, Monday to Friday, Sydney time, except New South Wales public holidays. The service levels set out response times.
Orderfy's support team can access your Orderfy account, and the business data in it, to provide support and to keep the service running. That includes helping when you ask us to, and also looking into an account from time to time without being asked: when we're investigating a fault or an alert, checking the health of the service, or making sure a change or a fix has worked.
- Only authorised Orderfy staff can do this, and only through a support session that is limited in time and records who opened it and why.
- Sessions only look, unless a change is needed to fix a problem. Any change appears in your activity log as "System admin".
- Every session, and every page viewed in it, is recorded in our internal audit trail. Viewing isn't listed in your own activity log.
- Records your business keeps as HR records stay hidden from support unless your settings allow it.
- If your agreement with us restricts support access, we follow it.
9. Connected systems and imports
When you connect another system to Orderfy, such as Xero, or Cin7 Core to bring your data across, Orderfy stores the credentials it needs (sign-in tokens, or an account ID and API key), encrypted. We use them only to do what you asked: to keep Xero in step, or to read your data from Cin7. Orderfy never changes anything in Cin7.
Our support team may use those credentials to help with an import or to look into a problem with a connection. We never show a stored key again, and you can disconnect at any time, which deletes it. Once an import is finished, we recommend you also revoke its key in the other system.
Those systems are provided by others, on their own terms. We aren't responsible for their availability or for the accuracy of the data they hold. Check what an import brings across before you rely on it: opening stock, for example, arrives as draft adjustments for you to review and post.
10. Acceptable use
You and your users follow the acceptable use policy. In short: use Orderfy lawfully, don't try to reach other customers' data, don't test its security except under our disclosure policy, and don't resell it.
11. Availability
We aim for Orderfy to be available 99.95% of each month, as the service levels describe, not counting maintenance we announce at least 48 hours ahead and schedule outside business hours, Sydney time.
12. Security and breaches
We protect your data with the measures on the security page, and keep them up to date. If a breach affects your data, we tell you without undue delay and help you meet your own obligations.
13. Intellectual property
Orderfy's software and content belong to us and our licensors. Your subscription gives your users the right to use Orderfy for your business while it lasts. Your documents, data and branding remain yours. If you send us ideas or feedback, we may use them without owing you anything.
14. Confidentiality
Each of us keeps the other's confidential information confidential and uses it only for this agreement, unless the law requires otherwise. Your business data is your confidential information.
15. Australian Consumer Law
Nothing in these terms excludes rights you have under the Australian Consumer Law that can't be excluded. Where the law lets us limit our liability for failing to meet a consumer guarantee, our liability is limited to supplying the service again or paying the cost of having it supplied again.
16. Liability
As far as the law allows, neither of us is liable for indirect or consequential loss, or loss of profit, revenue or data that a backup could have avoided. Our total liability under these terms in any 12 months is limited to the fees you paid us in those 12 months. Each party's liability is reduced to the extent the other caused or contributed to the loss.
Orderfy helps you run your business, but it does not give accounting, tax or legal advice. You remain responsible for your own records, tax and compliance.
17. Suspension and ending
We may suspend your account for non-payment (see "Fees and payment"), to deal with a security risk, or for a serious breach of these terms, and we tell you why. Either of us may end the agreement if the other seriously breaches it and doesn't fix the breach within 30 days of notice. We may also end it with 90 days' notice. When it ends, "Exports and leaving" applies.
18. Events outside our control
Neither of us is liable for a delay or failure caused by something beyond reasonable control, such as a natural disaster, a wide failure of the internet or a power network, or an act of government, as long as that party does what it reasonably can to limit the effect.
19. Changes to these terms
We tell you about a material change by email at least 30 days before it takes effect. If you don't accept it, you may end the agreement before then.
20. General
These terms are governed by the law of New South Wales, Australia, and the courts there have jurisdiction. We send notices to your account owner's email address, and you send them to legal@orderfy.com.au or to Unit 14 / 9 Bermill Street, Rockdale NSW 2216. Neither of us may transfer the agreement without the other's consent, except that we may transfer it to whoever takes over the Orderfy business. If part of these terms can't be enforced, the rest still applies. These terms, with the documents listed in "About these terms", are the whole agreement about Orderfy between us.
